The terms governing your use of ChAinge Logic services, including AI automation consulting, custom software products, and the TipC digital tipping platform.
These Terms and Conditions ("Terms") constitute a legally binding agreement between you ("User", "you", or "your") and ChAinge Logic (Pty) Ltd ("ChAinge Logic", "we", "us", or "our"), a company incorporated and registered in the Republic of South Africa.
By accessing our website at chaingelogic.co.za, engaging our services, or using the TipC digital tipping platform, you confirm that you have read, understood, and agreed to be bound by these Terms in full. If you do not agree to any part of these Terms, you must immediately cease use of our website and services.
Please read these Terms carefully. They contain important information about your rights and obligations, limitations on our liability, and how disputes are resolved. If you are agreeing on behalf of a company or other legal entity, you represent that you have authority to bind that entity.
Access to and use of the ChAinge Logic website is provided on a general information basis. By using the website, you agree to the following:
All intellectual property on the website — including but not limited to design, content, logos, trademarks, source code, and product names (including "TipC") — is owned by or licensed to ChAinge Logic. Unauthorised reproduction, distribution, or modification is prohibited.
Where you engage ChAinge Logic for AI automation consulting, business process optimisation, internal tool development, custom SaaS development, or digital transformation services, the following terms apply:
All consulting and development engagements are governed by a separate written Service Agreement or Statement of Work ("SOW") entered into between ChAinge Logic and the client entity. In the event of any conflict between a signed SOW and these Terms, the SOW shall take precedence in respect of that specific engagement.
Services are delivered as described in the applicable SOW. ChAinge Logic reserves the right to use subcontractors, provided that ChAinge Logic remains responsible for the quality of deliverables.
Fees for consulting and development services are set out in the applicable SOW or proposal. Unless otherwise agreed:
Unless expressly stated otherwise in the SOW, all custom software, documentation, and deliverables created specifically for a client and fully paid for by that client become the intellectual property of the client upon receipt of final payment.
ChAinge Logic retains ownership of all pre-existing tools, frameworks, methodologies, libraries, and general-purpose components ("Background IP") used in the delivery of services. ChAinge Logic grants clients a non-exclusive, perpetual licence to use Background IP embedded in their deliverables for their own business operations.
TipC is a QR-based digital tipping product operated by ChAinge Logic. TipC enables customers to send cashless tips to service workers by scanning a QR code and completing a payment through our payment service provider, Ozow. The following terms govern use of TipC.
Workers registered on the TipC platform are platform participants — they participate in the TipC tipping ecosystem through ChAinge Logic's infrastructure. Workers are not independent merchants and do not independently process payments. All payments are received and managed by ChAinge Logic on behalf of the platform.
Workers accept these Terms and any applicable TipC Worker Agreement upon registration. Continued use of the TipC platform constitutes ongoing acceptance of the then-current Terms.
The minimum tip amount that can be processed through TipC is R10.00 (ten South African Rand). Tips below this threshold will not be processed.
All tip payments are processed through Ozow. By submitting a tip, the customer agrees to Ozow's payment terms in addition to these Terms. ChAinge Logic does not store card or banking details of tip customers — all payment data is processed exclusively within Ozow's PCI-DSS compliant environment.
Payments are subject to verification by both the TipC platform systems and Ozow's fraud prevention processes. ChAinge Logic reserves the right to decline, hold, or reverse transactions that fail verification checks.
ChAinge Logic operates automated and manual fraud prevention systems. A transaction or payout may be placed on hold where:
During a fraud hold, affected funds are preserved and not paid out pending investigation. We will notify the affected worker where possible. Funds confirmed as legitimate will be released upon conclusion of the review.
ChAinge Logic reserves the right to suspend or permanently terminate access to the TipC platform — including withholding pending payouts — in the following circumstances:
Where permitted, we will provide notice prior to termination. Where fraud or compliance violations are involved, immediate suspension without prior notice may be applied.
To the fullest extent permitted by applicable South African law:
Consumer Protection Act: Nothing in these Terms limits or excludes rights you may have under the Consumer Protection Act, 68 of 2008, or other applicable South African consumer legislation, to the extent such rights cannot be lawfully excluded.
These Terms are governed by and construed in accordance with the laws of the Republic of South Africa, without regard to conflict of law principles.
Any dispute, claim, or controversy arising out of or in connection with these Terms or our services shall first be subject to good-faith negotiation between the parties. If unresolved within 30 days, either party may pursue formal legal recourse in the courts of South Africa, to which jurisdiction both parties irrevocably submit.
For TipC-related payment and payout disputes, please refer to our Refunds & Disputes Policy and our Complaints process before initiating legal proceedings.
We reserve the right to modify these Terms at any time. Material changes will be communicated via our website with a revised effective date. Continued use of our services after any changes constitutes your acceptance. If you do not accept the revised Terms, you must discontinue use of the affected services and notify us in writing.
